"This, the tenth edition of the Guidebook, incorporates important recent developments in company law most significantly the Commonwealth Government's announcement in September 1987 of proposed new Commonwealth companies and securities legislation to commence operation in 1989. According to the Government's announcement the new legislation would replace the existing co-operative scheme and would be governed by a new national body, the Australian Securities Commission, which would replace the National Companies and Securities Commission. Another important Government initiative has been the creation of the new national Australian Stock Exchange which replaced the former associated stock exchanges on 1 April 1987. These developments are discussed.
Also included in this edition are miscellaneous amendments to the companies code and takeovers code such as the exemption of franchise agreements and retirements villages from the prescribed interest provisions as well as important recent cases such as the first cases dealing with a shareholder's right to inspect company books under the companies code."
